Conditions Générales de Vente – Act-3D

These General Terms of Service, along with any applicable Additional Terms within our Services & Software (section 1.2) govern your use of our Services such as (but not exclusively limited to) the Lumion Software, Lumion website, the Lumion Community site, Customer Care, Technical Support, Lumion Account (collectively “Services”) and Software that we include as part of the Services, as well as any Applications, Addons, Sample Files, Content Files, Tutorials, and related documentation.

Lumion, or any other programs by Act-3D that can be downloaded and installed on a user’s computer, will be referred to collectively as “Programs”.

1. Your Agreement with Lumion

1.1 Choice of Law and Contracting Entity
Regardless of where you reside, your relationship is with Act-3D B.V., a Dutch limited company, and the Terms are governed by the law of The Netherlands and any international law or trade restriction the Dutch Government imposes on Act-3D B.V.

1.2 Additional Terms
Our Services are licensed, not sold, to you, and may also be subject to one or more of the additional terms within the policies and agreements below (“Additional Terms”). If there is any conflict between the General Terms of Service and the Additional Terms, then the Additional Terms take precedence over the General Terms of Service.

1.3 Severability
If any provision of these General Terms or any Additional Terms is held invalid or unenforceable for any reason, the other provisions of the  General Terms and any Additional Terms will continue in full force and effect. Our failure to enforce or exercise any provision of the Terms is not a waiver of that provision.

1.4 Non-Assignment
You may not assign or otherwise transfer the Terms or your rights and obligations under the Terms, in whole or in part, without our written consent, and any such attempt will be void. We may transfer our rights under the Terms to a third party.

2. Lumion subscriptions

2.1 Payment and pricing
As compensation for the granted license to use the Software, Customer is required to pay the agreed upon price as stated on the Website or in My Account

Licenses are provided on a subscription basis or in some specific cases as a one off fee. Fees are prepaid by Customer to Act-3D or to a Lumion Reseller. All prices are in euros or in some specific regions in US Dollars and exclusive of Taxes.

Act-3D or Lumion reseller will invoice Customer for the license fees up front per (payment) term. All payments provided for the subscriptions shall be made upfront before the License is activated. Act-3D may invoice electronically.

In case Customer does not make payment or does not make payment on time, Act-3D has the right to suspend its obligations under the EULA, until Customer and/or End User has fulfilled its payment obligation. Suspension may include making the Software inaccessible to Customer and/or End User.

If Act-3D has not received payment after the due date, and without prejudice to any other rights and remedies of Act-3D, the statutory commercial interest, as referred to in Section 6:119a of the Dutch Civil Code, shall accrue on the outstanding amount. Furthermore, End User shall be obliged to pay all the judicial and extrajudicial collection costs, including the costs of lawyers, bailiffs, and debt-collection agencies.

Without prejudice to all other rights, Act-3D has the right to suspend the EULA after  the expiration date, until Customer and/or End User has fulfilled its payment obligation.

2.2 Price adjustments
Act-3D is entitled to adjust its (license) fee(s) and prices. The Customer will be informed by email of upcoming adjustments at least forty five (45) days in advance. In the event of a price increase, the Customer has the right to terminate the EULA by giving written notice to Act-3D within thirty (30) days after the price increase is announced. No refund shall be given when the EULA has been canceled.

Notwithstanding the foregoing, Act-3D can increase its prices without prior announcement and without a right of the Customer to terminate the EULA in the event Customer adds additional Seats during the subscription term.

2.3 Seats adjustments
In case the Customer desires more Seats, the Customer can purchase additional Seats via the online customer portal of Act-3D. Act-3D will endeavor to make the additional Seats available as soon as possible.

Additional seats purchased during a subscription term can be purchased at a prorated price for the remaining subscription term.

The Customer can downgrade seats for the upcoming subscription term. The Customer cannot downgrade the number of Seats during the subscription term.

2.4 Promotions
If a term or an additional seat has been bought with a discount, that discount will only apply for that specific term and/or seat. For the following terms and/or existing seats standard pricing will apply.

2.5 Auto renew
When buying from the Website or Lumion My Account, a Lumion subscription or an extra seat, auto renewal for your next payment term is enabled. Auto renewal can be disabled manually at any time from Lumion My Account

3. Use of Services

3.1 Act-3D B.V. Intellectual Property
Subject to your compliance with the Terms and the law, you may access and use the Services. Act-3D (and our licensors) remain the sole owner of all right, title, and interest in the Services. We do not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights in respect to the items in the Services . We reserve all rights not granted under the Terms.

You may not (a) modify, port, adapt or translate any portion of the Services; or (b) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or any portion of any Service.

3.2 Storage
When the Services provide storage, we recommend that you also back up your Content elsewhere regularly. We may create reasonable technical limits on file size, storage space, processing capacity, and other technical limits. We may suspend the Services until you are within the storage space limit associated with your account. At the end of your license term, we will use commercially reasonable efforts to allow you to transition your Content out of the Services. The transition must be completed within 30 days from the date of the termination or expiration of your license term. At the end of this 30-day transition period, we reserve the right to delete your Content.

3.3 Content Generated by Other Users
We may host user-generated content from our users. If you access our Services, you may come across user-generated content that you find offensive or upsetting and yet does not break any of our listed rules. Should this be the case, your sole remedy is to stop viewing the content. If available, you may also click on the “Report” button to report the offensive user-generated content to us.

3.4 Content Files
“Content Files” means Act-3D B.V. assets provided as part of the Services such as example projects, videos, images, or sounds for use in your projects, tutorials, demonstrations, and for other purposes. Unless separately agreed upon documentation or specific licenses state otherwise; we grant you a personal, non-exclusive, non-sublicensable, and non-transferable license to use the Content Files to create your end use (i.e., the derivative application or product authored by you) into which the Content Files, or derivations thereof, are embedded for your use (“End Use”). You may modify the Content Files prior to embedding them in the End Use. You may reproduce and distribute Content Files only in connection with your End Use, however, under no circumstances can you distribute the Content Files on a stand-alone basis, outside of the End Use.

4. Your Content

4.1 Content
“Content” means any material, such as (but not exclusively limited to) audio files, video files, Lumion project files, electronic documents, text, or images, that you upload and import into the Services in connection with your use of the Services. For example, when using our Customer Care Service, you may be asked to upload your project and other files in order to diagnose an issue. Uploading files to our services for the purposes of Customer Care or Lumion Community participation is voluntary.

4.2 Ownership
You retain all rights and ownership of your Content. Act-3D does not claim any ownership rights to your Content.

4.3 Your Content
We require certain licenses from you to your Content in order to operate and enable the Services and Software. When you upload Content to the Services and Software, you grant us a non-exclusive, worldwide, royalty-free License to use, display and store your content. This license is only for the purpose of operating or improving the Services.

4.4 Sharing Your Content

(a) Sharing
Some Services and Software may provide features that allow you to Share your Content with Act-3D’s Customer Support, IT, and Sales departments. “Share” means to email, post, transmit, upload, or otherwise make available through your use of the Services and Software.

(b) Level of Access
Access to Content exchanged between customers and Act-3D within the Customer Care Services is restricted and remains solely between each specific customer and Act-3D.

(c) Non-Disclosure of Confidential information
All communication and Content shared between Act-3D and a single customer within Act-3D’s Customer Care services shall remain strictly confidential. Act-3D commits to never disclose, share, sell, discuss or otherwise transfer your Content to third parties. A customer can request the deletion of all Content stored within our Customer Care services at any time in accordance with GDPR.

4.5 Sharing Your Content with the Lumion Community

(a) Sharing
Some Services and Software may provide features that allow you to Share your Content with other Lumion users or the public, such as through the Lumion Community. “Share” means to email, post, transmit, upload, or otherwise make available (whether to us or other users) through your use of the Services and Software. Other users may use, copy, modify, or re-share your Content in many ways. Please carefully consider what you choose to Share or make public as you are responsible for the Content that you Share.

(b) Level of Access
We do not monitor or control what others do with your Content. You are responsible for determining the limitations that are placed on your Content and for applying the appropriate level of access to your Content. It is your responsibility to let other users know how your Content may be shared.

(c) Comments and Interaction
The Services and Software may allow you to comment on Content and interact with other users through social media mechanics such as upvoting and downvoting other users’ content. Comments are not anonymous, and may be viewed by other users. Your comments may be deleted by you, other users, or us.

(d) Promotion
Uploading Your content to our Services may give you the option to agree to allow Act-3D to promote your work in marketing and community activities such as official social media posts, blog articles and promotional videos. In every such case, Act-3D will display the information you provide in the “Credits” field when agreeing to allow Your Content to be promoted by us.

4.6 Feedback
You have no obligation to provide us with ideas, suggestions, or proposals (Feedback). If you submit Feedback to us however, then you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to make, use, sell, have made, offer to sell, import, reproduce, publicly display, distribute, modify, and publicly perform the Feedback.

5. Account Information

You are responsible for all activity that occurs via your account. Please notify Customer Care immediately if you become aware of any unauthorized use of your account. You may not (a) Share your account information; or (b) use another person’s account. As is the case with Lumion licenses, if an account is found to be compromised and/or is accessible by multiple users, we reserve the right to suspend the account pending an investigation which would involve proof of ownership and account security verification.

6. User Conduct

6.1 Responsible Use
The Lumion communities consist of users who expect a certain degree of courtesy and professionalism. You must use the Services responsibly.

6.2 Misuse
You must not misuse the Services. For example, you must not:

(a) copy, modify, host, stream, sublicense, illegally distribute, or resell the Services;

(b) enable or allow others to use the Services using your account information;

(c) use the Services to construct any kind of database;

(d) circumvent or misuse any access or use restrictions put into place to prevent certain uses of the Services;

(e) share Content, or engage in behavior that violates anyone’s intellectual property rights (“Intellectual Property Rights” means copyright, moral rights, trademark, trade dress, patent, trade secret, unfair competition, right of privacy, right of publicity, and any other proprietary rights);

(f) upload or share any Content that is unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, vulgar, lewd, profane, invasive of another’s privacy, or hateful;

(g) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

(h) upload, transmit, store, or make available any Content or code that contains any viruses, malicious code, malware, or any components designed to harm or limit the functionality of the Services. Attempt to disable, impair, or destroy the Services

(i) place an advertisement of any products or services in the Services

(j) use any data mining or similar data gathering and extraction methods in connection with the Services.

(k) In the event where it is not clear whether or not a user’s conduct, or the content of a user, breaks any of the rules laid out in these Terms; it will be up to a member from Act-3D or an officially designated representative to make a judgment call and apply any actions that are deemed necessary.

7. Your Warranty and Indemnification Obligations

7.1 Warranty
By uploading your Content to the Services, you agree that you have: (a) all necessary licenses and permissions to use and Share your Content; and (b) the rights necessary to grant the licenses in the Terms.

7.2 Indemnification
You will indemnify us and our subsidiaries, affiliates, officers, agents, employees, partners, and licensors from any claim, demand, loss, or damage, including reasonable attorneys’ fees, arising out of or related to your Content, your use of the Services, or your violation of the Terms.

8. Disclaimers of Warranties

8.1 commercially reasonable efforts
Unless stated in the Additional Terms, the Services are provided “AS-IS” and based on “commercially reasonable efforts”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of non-infringement, merchantability, and fitness for a particular purpose. We make no commitments about the content within the Services. We further disclaim any warranty that (a) the Services or will meet your requirements or will be constantly available, uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Services will be effective, accurate, or reliable; (c) the quality of the Services will meet your expectations; or (d) any errors or defects in the Services will be corrected.

8.2 Liability
We specifically disclaim all liability for any actions resulting from your use of any Services . You may use and access the Services at your own discretion and risk, and you are solely responsible for any damage to your computer system, business operations, or loss of data that results from the use of and access to any Service .

8.3 Content on servers
If you post your Content on our servers to publicly Share through the Services, we are not responsible for: (a) any loss, corruption, or damage to your Content; (b) the deletion of Content by anyone other than Act-3D; or (c) the inclusion of your Content by third parties on other websites or other media.

9. Limitation of Liability

The limitations and exclusions in this section 9 apply to the maximum extent permitted by law.

9.1 Liability
Unless stated in the Additional Terms, we are not liable to you or anyone else for any loss of use, data, goodwill, or profits, whatsoever, and any special, incidental, indirect, consequential, or punitive damages whatsoever, regardless of cause (even if we have been advised of the possibility of the loss or damages), including losses and damages (a) resulting from loss of use, data, or profits, whether or not foreseeable; (b) based on any theory of liability, including breach of contract or warranty, negligence or other tortious action; or (c) arising from any other claim arising out of or in connection with your use of or access to the Services. Nothing in the Terms limits or excludes our liability for gross negligence, for our, or our employees’, intentional misconduct.

9.2 Compensation
Act-3D total liability in any matter arising out of or related to the Terms is limited to the aggregate amount that you paid for access to the Service and during the three-month period preceding the event giving rise to the liability, whichever is larger. This limitation will apply regardless of the form or source of claim or loss, whether the claim or loss was foreseeable, and whether a party has been advised of the possibility of the claim or loss.

10. Termination

10.1 Termination by you
You may stop using the Services at any time. You may also request the deletion of all your account and personal data. Termination of your account does not relieve you of any obligation to pay any outstanding fees.

10.2 Termination by us
If we terminate the Terms, or your use of the Service(s) for reasons other than for cause, we will make reasonable efforts to notify you at least 30 days prior to termination via the email address you provide to us with instructions on how to retrieve your Content. Unless stated in any Additional Terms, we may, at any time, terminate your right to use and access the Services if:

(a) you breach any provision of the Terms (or act in a manner that clearly shows you do not intend to, or are unable to, comply with the Terms);

(b) you materially breach any provision of the Terms.

(c) you physically, verbally, or through other means abuse, threaten, bully, or harass us or our personnel (we may alternatively suspend or restrict your access to the Services);

(d) you have repeatedly made complaints in bad faith or without a reasonable basis, and continue to do so after we have asked you to stop (in such circumstances, we may alternatively suspend or restrict your access to the Services);

(e) we are required to do so by law

(f) we elect to discontinue the Services, in whole or in part

(g) there has been an extended period of inactivity in your free account.

(h) Termination by Lumion Group Administrators. Group administrators for a Service (such as your organization’s Group Administrator in charge of assigning Lumion seats to members of the organization) may terminate a user’s access to a Service at any time.

(i) Survival. Upon the expiration or termination of the Terms, some or all of the Services may cease to operate without prior notice. Your indemnification obligations, our warranty disclaimers or limitations of liabilities, and dispute resolution provisions stated in the Terms will survive.

11. Investigations

11.1 Screening
Act-3D do not review all content uploaded to the Services, but we may use available technologies, vendors, or processes to screen for certain types of illegal content (for example, child pornography) or other abusive content or behavior (for example, patterns of activity that indicate spam or phishing, or keywords that indicate adult content has been posted outside of the adult wall).

11.2 Disclosure
We may access or disclose information about you or your use of the Services: (a) when it is required by law (such as when we receive a valid subpoena or search warrant); (b) to respond to your requests for customer service support; or (c) when we, in our discretion, think it is necessary to protect the rights, property, or personal safety of us, our users, or the public.

12. Updates and Availability

12.1 Updates to the General Terms and Additional Terms
We may modify these General Terms and any Additional Terms to reflect changes to the law or changes to our Services. You should look at the Terms regularly. We will post notice of modifications to these General Terms and Additional Terms. By continuing to use or access the Services after the revisions are in effect, you agree to be bound by the revised Terms.

12.2. Updates to the Services
We may modify, update, or discontinue the Services (including any portions or features) at any time, without liability to you or anyone else. If we discontinue the Services in its entirety, we will also allow you a reasonable time to download your Content.

12.3  Availability
Web-pages describing the Services are accessible worldwide, but this does not mean all Services or service features are available in your country or that user-generated content available via the Services is legal or available in your country. Access to certain Services (or certain Service features, Sample Files or Content Files) in certain countries may be blocked by us or foreign governments. It is your responsibility to make sure your use of the Services is legal or available where you use them. Services are not available in all languages.

13. Miscellaneous

13.1 Notice to You
We may notify you by email, postal mail, postings within the Services, or other legally accepted means.

Les Contrats de licence d’utilisateur final – End-user License Agreement (EULA)

for ACT-3D* Lumion Software

1. EULA For Users of Act-3D Commercial Licenses

Applicability of this EULA
This section of the EULA is applicable to the standard commercial version of Lumion and Lumion Pro. This includes the free trial of the commercial versions of Lumion.

It also includes the Subscription versions of Lumion that are available in some countries.

Important – read carefully: This End-User License Agreement (“EULA”) is a legal agreement between you (either a natural person or legal entity) and Act-3D for the Act-3D software that accompanies this EULA, which includes associated media and Act-3D Internet-based services (“Software”). An amendment or addendum to this EULA may accompany the Software.

You will find the EULA link on our Buy page (/buy.html). You will be notified that you will need to agree to be bound by the terms of this EULA when you run the software for the first time. If you do not agree to the terms in this EULA, do not purchase, download, install, copy, or use the software. Purchases of Commercial License versions of Act-3D software come with a two-week refund policy. For any refund request or query, please contact your point of purchase. 

Definitions
1. “Lumion” is the program supplied by Act-3D B.V. herewith, and any and all updates thereto. To see the Lumion specifications, please use the following link: /specifications.html.
2. “Lumion Project” means an output file generated by you using Lumion.
Examples of Lumion Projects include movies, presentations, demonstration files, interactive multimedia material, interactive entertainment products and the like.
3. “MyLumion” is a service that can host 360 degree panorama views.
4. “OpenStreetMap” is a BETA version of a service that can download city/terrain data for 3D models.
5. “Software” is all information processed by computer systems, programs and data. Computer software includes computer programs, libraries and related non-executable data, such as online documentation or digital media

Grant of license
This license allows you to:
1. Install and use Lumion on multiple computers and make copies of Lumion in machine-readable form for backup purposes, provided the number of concurrent users does not exceed the number of Lumion licenses purchased – any extra seats allocated to a license can be considered the same as an equivalent number of additional licenses. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of Lumion. It is illegal to make installed copies of Lumion or the Lumion installation files available to the public or third parties, for example via file hosting websites.
2. Install Lumion on a storage device, such as a network server, and run Lumion on an internal network, provided the number of concurrent users does not exceed the number of Lumion licenses or seats purchased. A Lumion licence or additional Lumion licence seats must be purchased for each concurrent user.
3. Make copies of a “Lumion Project”, and distribute those copies for use by yourself or personnel employed by you, or by another party.

License restrictions
Other than as set forth under “Grant of License”, you may not make or distribute copies of Lumion to third parties, or electronically transfer Lumion from one computer to another or over a network which third parties can access. You may not rent, lease or sublicense Lumion. You may not modify Lumion or create derivative works based upon Lumion.

Hardware requirements
Lumion runs on a Windows operating system and needs internet access over HTTP to the license server of Act-3D B.V. You are responsible for selecting the appropriate resources, including hardware and internet access, and for ensuring that these are available in full and in a timely manner. Act-3D B.V. will under no circumstances be liable for losses or costs arising as a result of transmission errors, breakdowns or the non-availability of these facilities. Privacy
By installing this copy of Lumion you accept that Lumion sends hardware information like computer name and hardware specifications to Act­3D B.V. servers with the purpose of verifying validity of your license.

By installing this copy of Lumion you also accept that Lumion sends product usage information, test results and hardware specifications to Act­3D B.V. servers with the purpose of further improving the future development of Lumion and advising on hardware suitability for running Lumion. Lumion uses a floating license system and licenses are activated/de-activated on the Act-3D license servers. In order to maintain the activation status of Lumion licenses (active or inactive), Act-3D stores activation/de-activation data in a database. Act-3D also reserves the right to use this data for analytical purposes. This data is also available to authorized Act-3D sales partners.

Sensitive data is made anonymous, in compliance with the European General Data Protection Regulations.

Ownership
The foregoing license gives you limited rights to use Lumion, only for the intended use. Although you own the media on which Lumion is recorded, you do not become the owner of, and Act-3D retains title to, Lumion, the Lumion Viewer (supplied with Lumion Pro), and all copies thereof. All intellectual property rights to the software shall remain exclusively vested in Act-3D B.V., its licensors or its own suppliers. You only acquire those rights of use that are explicitly granted in this license agreement and by law. Any rights of use granted to you shall be non-exclusive, non-transferable to third parties and non-sublicensable. You shall not be permitted to remove or amend any details in relation to the confidential nature or in relation to copyrights, brand names, trade names or any other intellectual property right from the software.

Support
To use Lumion’s Customer Care services, follow the steps contained in the emails sent to you upon acquiring the Lumion software. These emails will explain how to create an account at https://account.lumion.com and register your Lumion license key/s. You must be logged in to https://account.lumion.com and you must have a valid licence key added to your account in order to access Lumion’s Customer Care services.

Update and Upgrade policy
Act-3D B.V. regularly releases updates with fixes, changes and added functionality. To see the Lumion upgrade policy, please visit this page: /upgrade-policy

Limited warranties
Act-3D B.V. warrants that, for a period of ninety (90) days from the date of delivery (as evidenced by a copy of your receipt, when used with a recommended hardware configuration (/requirements.html)), Lumion will perform in substantial conformance with the product specifications supplied on the Lumion product website (/product.html) . Except as set forth in the foregoing limited warranty, Act-3D B.V. disclaims all other warranties or conditions, either express or implied, including the warranties or conditions of merchantability, fitness for a particular purpose and non infringement. If applicable law implies any warranties with respect to Lumion, all such warranties are limited in duration to ninety (90) days from the date of delivery. No oral or written information or advice given by Act-3D B.V., its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of this warranty. You will be responsible for the use of Lumion and the manner in which the results obtained through the use of the software are used, Act-3D B.V. shall not be responsible for checking the accuracy and completeness of Lumion and the data generated through the use of the service. Act-3D B.V. shall have no responsibility if Lumion has been altered in any way, if the media has been damaged by accident, abuse or misapplication, or if the failure arises out of use of Lumion with other than a recommended hardware configuration.

Limitations of damages
The total liability of Act-3D B.V. due to an attributable failure to perform this license agreement or due to any other reason, explicitly including any failure to comply with a guarantee obligation agreed with you, shall be limited to compensation of the direct damages or loss not exceeding the sum of 250 U.S. dollars.

The liability of Act-3D B.V. for indirect damages or loss, resulting loss, loss of profit, loss of savings, reduced goodwill, loss due to business interruption, loss as a result of claims from your customers, shall be excluded. The liability of Act-3D B.V. due to the scrambling, destruction or loss of data or documents shall also be excluded. The liability of Act-3D B.V. for loss as a result of death, physical injury or due to material damage to  items shall under no circumstances exceed € 1.250.000.

Basis of Bargain
The limited warranty, exclusive remedies and limited liability set forth above are fundamental elements of the basis of the agreement between Act-3D B.V. and you. Act-3D B.V. would not be able to provide Lumion on an economic basis without such limitations.

General
This Agreement shall be governed by  Dutch law. The applicability of the Convention on Contracts for the International Sale of Goods 1980 is excluded. Any disputes that may arise on the basis of this license agreement, shall be settled by the District Court of The Hague, the Netherlands.This Agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. All questions concerning this Agreement shall be directed to: Act-3D B.V., Hoofdstraat 10, 2171 AT Sassenheim, The Netherlands.

MyLumion
MyLumion is functionality which allows projects to be uploaded from Lumion and stored on a ‘MyLumion’ online domain. Certain conditions apply to this functionality.
1. MyLumion is supplied on a ‘best effort’ basis, meaning that MyLumion project data is backed up on multiple servers but no specific performance guarantees can be provided for the following reasons:
a) Availability depends on services provided by the relevant internet storage operators. The availability of the functionality is determined by these providers and is less than 100%.
b) In countries or regions with restricted or unreliable internet access, the MyLumion website domain might not be accessible.
2. Storage time for projects on MyLumion is a minimum of 1 year, from the time the MyLumion project was created.
3. MyLumion is provided on a ‘fair use’ basis. This means that a maximum of 10 panorama projects and 10 image projects can be in use at any one time.
It also means that if more projects are uploaded, the older projects (both Panorama and Image projects) will be removed automatically from the relevant MyLumion account.
4. The usage data of projects is logged in a Lumion database and may be used for usage analysis reasons.
Projects are available via a randomly generated unique link.
5. Projects are not password protected.

Open street maps (OSM) beta functionality
Act-3D has made a BETA version of Open Street Maps (OSM) functionality available since Lumion version 7.0. This makes use of the online ‘Open Street Maps’ service which is provided by a third party, which is independent of Lumion or ACT-3D. As such, the functionality is dependent on the service and data provided by the operators of the Open Street Maps service. The BETA status means the OSM functionality in Lumion is still under development. This Agreement offers ‘as is’ use of OSM free of charge.

Act-3D offers no support and accepts no liability in any form regarding the use of OSM. Act-3D may discontinue or change the OSM project at any time without any obligation to compensate license holders.

 Software from third party suppliers
Act-3D B.V. provides you with software from third parties. The (license) terms imposed by such third parties in relation to the software shall apply, notwithstanding any varying provisions in this license agreement.

Certain content in the Model Library of Lumion with third party copyrighted or trademarked images, logos, brand names, etc., may require additional licensing, rights, permissions, releases, or clearance for non-editorial use. It is the sole responsibility of you to determine, before using any content in the Model Library, whether additional licensing, rights, permissions, releases, or clearance are necessary for the intended use of content in the Model Library of Lumion.

Definitions

Examples of Lumion Projects include movies, presentations, demonstration files, interactive multimedia material, interactive entertainment products and the like.
3. MyLumion is a service that can host 360 degree panorama views, renderings and links to YouTube videos on MyLumion.com. This is not available in the Free Demo trial version of Lumion.
4. OpenStreetMap is a BETA version of a service that can download city/terrain data for 3D models but is not available in the Free Demo Trial version of Lumion.
5. “Software” is all information processed by computer systems, programs and data. Computer software includes computer programs, libraries and related non-executable data, such as online documentation or digital media

Grant of license
This license allows you to:
1. Install and use Lumion on multiple computers and make copies of Lumion in machine-readable form for backup purposes, provided the number of concurrent users does not exceed the number of Lumion licenses purchased – any extra seats allocated to a license can be considered the same as an equivalent number of additional licenses. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of Lumion. It is illegal to make installed copies of Lumion or the Lumion installation files available to the public or third parties, for example via file hosting websites.
2. Install Lumion on a storage device, such as a network server, and run Lumion on an internal network, provided the number of concurrent users does not exceed the number of Lumion licenses or seats purchased. A Lumion licence or additional Lumion licence seats must be purchased for each concurrent user.
3. Make copies of a “Lumion Project”, and distribute those copies for use by yourself or personnel employed by you, or by another party.

License restrictions
Other than as set forth under “Grant of License”, you may not make or distribute copies of Lumion to third parties, or electronically transfer Lumion from one computer to another or over a network which third parties can access. You may not rent, lease or sublicense Lumion.
You may not modify Lumion or create derivative works based upon Lumion.

Privacy
By installing this copy of Lumion you accept that Lumion sends hardware information like computer name and hardware specifications to Act­3D B.V. servers with the purpose of verifying validity of your license. By installing this copy of Lumion you also accept that Lumion sends product usage information, test results and hardware specifications to Act­3D B.V. servers with the purpose of further improving the future development of Lumion and advising on hardware suitability for running Lumion.
Lumion uses a floating license system and licenses are activated/de-activated on the Act-3D license servers. In order to maintain the activation status of Lumion licenses (active or inactive), Act-3D stores activation/de-activation data in a database. Act-3D also reserves the right to use this data for analytical purposes. This data is also available to authorized Act-3D sales partners. Sensitive data is made anonymous, in compliance with the European General Data Protection Regulations.

Ownership
The foregoing license gives you limited rights to use Lumion, only for the intended use. Although you own the media on which Lumion is recorded, you do not become the owner of, and Act-3D retains title to, Lumion, the Lumion Viewer (supplied with Lumion Pro), and all copies thereof. All intellectual property rights to the software shall remain exclusively vested in Act-3D B.V., its licensors or its own suppliers. You only acquire those rights of use that are explicitly granted in this license agreement and by law. Any rights of use granted to you shall be non-exclusive, non-transferable to third parties and non-sublicensable. To use Lumion’s Customer Care services, follow the steps contained in the emails sent to you upon acquiring the Lumion software. These emails will explain how to create an account at https://account.lumion.com and register your Lumion license key/s. You must be logged in to https://account.lumion.com and you must have a valid licence key added to your account in order to access Lumion’s Customer Care services.

Update and upgrade policy
There are no guarantees of updates or upgrades.

Warranty
Act-3D B.V. provides no warranty on the free demo version of Lumion. No oral or written information or advice given by Act-3D B.V., its dealers, distributors, agents or employees will create a warranty or in any way increase the scope of this warranty. You will be responsible for the use of Lumion and the manner in which the results obtained through the use of the software are used, Act-3D B.V. will not be responsible for checking the accuracy and completeness of Lumion and the data generated through the use of the service. Act-3D B.V. will have no responsibility if Lumion has been altered in any way, if the media has been damaged by accident, abuse or misapplication, or if the failure arises out of use of Lumion with other than a recommended hardware configuration.

Limitations of damages
Act-3D B.V. accepts no liability on the free demo version of Lumion.

Basis of Bargain

Applicability of EULA
This EULA is applicable to Educational Licenses that are licensed to Educational Institutions.

Important – read carefully: This End-User License Agreement (“EULA”) is a legal agreement between you (either a natural person or legal entity) and Act-3D for the Act-3D software that accompanies this EULA, which includes associated media and Act-3D Internet-based services (“Software”). An amendment or addendum to this EULA may accompany the Software.

Definitions
1. “Lumion” is the program supplied by Act-3D B.V. herewith, and any and all updates thereto. To see the Lumion specifications, please use the following link /specifications.html.
2. “Lumion Project” means an output file generated by you using Lumion.
Examples of Lumion Projects include movies, presentations, demonstration files, interactive multimedia material, interactive entertainment products and the like.
3. “MyLumion” is a service that can host 360 degree panorama views, renderings and links to YouTube videos on MyLumion.com.
4. “OpenStreetMap” is a BETA version of a service that can download city/terrain data for 3D models.
5. “Software” is all information processed by computer systems, programs and data. Computer software includes computer programs, libraries and related non-executable data, such as online documentation or digital media

Grant of license
This license allows you to:
1. Install and use Lumion on multiple computers and make copies of Lumion in machine-readable form for backup purposes, provided the number of concurrent users does not exceed the number of Lumion licenses purchased or granted by Act-3D. Any extra seats allocated to a license can be considered the same as an equivalent number of additional licenses
You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of Lumion.
2. Install Lumion on a storage device, such as a network server, and run Lumion on an internal network, provided the number of concurrent users does not exceed the number of Lumion licenses purchased. A Lumion licence or additional Lumion licence seats must be purchased for each concurrent user.
3. Make copies of a “Lumion Project”, and distribute those copies for use by yourself or personnel employed by you, or by another party. The Student version “Lumion Project” files can only be used with other Student versions.

License restrictions
Other than as set forth under “Grant of License”, you may not make or distribute copies of Lumion, or electronically transfer Lumion from one computer to another or over a network. You may not rent, lease or sublicense Lumion.
You may not modify Lumion or create derivative works based upon Lumion.

Hardware requirements
Lumion runs on a Windows operating system and needs internet access over HTTP to the license server of Act-3D B.V. You are responsible for selecting the appropriate resources, including hardware and internet access, and for ensuring that these are available in full and in a timely manner. Act-3D B.V. will under no circumstances be liable for losses or costs arising as a result of transmission errors, breakdowns or the non-availability of these facilities.

Privacy
By installing this copy of Lumion you accept that Lumion sends information like computer name and hardware specifications to Act­3D B.V. servers with the purpose of verifying validity of your license.
By installing this copy of Lumion you also accept that Lumion sends test results and hardware specifications to Act­3D B.V. servers with the purpose of further improving the future development of Lumion. This information will be used to create estimates of performance of different hardware and to improve hardware compatibility.
Lumion uses a floating license system and licenses are activated/de-activated on the Act-3D license servers. In order to maintain the activation status of Lumion licenses (active or inactive), Act-3D stores activation/de-activation data in a database. Act-3D also reserves the right to use this data for analytical purposes, such as usage statistics. Act-3D reserves the right to gather extra data for the Lumion Student Pro version to verify legal and proper usage. This data is also available to authorized Act-3D sales partners.

Ownership
The foregoing license gives you limited rights to use Lumion, only for the intended use. Although you own the media on which Lumion is recorded, you do not become the owner of, and Act-3D retains title to, Lumion, the Lumion Viewer (supplied with Lumion Pro), and all copies thereof. All intellectual property rights to the software shall remain exclusively vested in Act-3D B.V., its licensors or its own suppliers. You only acquire those rights of use that are explicitly granted in this license agreement and by law. Any rights of use granted to you shall be non-exclusive, non-transferable to third parties and non-sublicensable.

Limitations of damages
The total liability of Act-3D B.V. due to an attributable failure to perform this license agreement or due to any other reason, explicitly including any failure to comply with a guarantee obligation agreed with you, shall be limited to compensation of the direct damages or loss not exceeding the sum of 250 U.S. dollars.

The liability of Act-3D B.V. for indirect damages or loss, resulting loss, loss of profit, loss of savings, reduced goodwill, loss due to business interruption, loss as a result of claims from your customers, shall be excluded. The liability of Act-3D B.V. due to the scrambling, destruction or loss of data or documents shall also be excluded. The liability of Act-3D B.V. for loss as a result of death, physical injury or due to material damage to items shall under no circumstances exceed € 1.250.000,–.

Basis of bargain
The limited warranty, exclusive remedies and limited liability set forth above are fundamental elements of the basis of the agreement between Act-3D B.V. and you. Act-3D B.V. would not be able to provide Lumion on an economic basis without such limitations.

This Agreement shall be governed by Dutch law. The applicability of the Convention on Contracts for the International Sale of Goods 1980 is excluded. Any disputes that may arise on the basis of this license agreement, shall be settled by the District Court of The Hague, the Netherlands.This Agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. MyLumion
MyLumion is functionality which allows projects to be uploaded from Lumion and stored on a ‘MyLumion’ online domain. Certain conditions apply to this functionality.
1. MyLumion is supplied on a ‘best effort’ basis, meaning that MyLumion project data is backed up on multiple servers but no specific performance guarantees can be provided for the following reasons:
a) Availability depends on services provided by the relevant internet storage operators. The functionality is determined by these providers and is less than 100%.
b) In countries or regions with restricted or unreliable internet access, the MyLumion website domain might not be accessible.
2. Storage time for projects on MyLumion is a minimum of 1 year, from the time the MyLumion project was created.
3. MyLumion is provided on a ‘fair use’ basis. This means that a maximum of 10 panorama projects and 10 image projects can be in use at any one time.
It also means that if more projects are uploaded, the older projects (both Panorama and Image projects) will be removed automatically from the relevant MyLumion account.
4. The usage data of projects is logged in a Lumion database and may be used for usage analysis reasons. Projects are available via a randomly generated unique link.
5. Projects are not password protected.

Open street maps (OSM) beta functionality
Act-3D has made a BETA version of Open Street Maps (OSM) functionality available since Lumion version 7.0. This makes use of the online ‘Open Street Maps’ service which is provided by a third party, which is independent of Lumion or ACT-3D. As such, the functionality is dependent on the service and data provided by the operators of the Open Street Maps service. The BETA status means the OSM functionality in Lumion is still under development. This Agreement offers ‘as is’ use of OSM free of charge.
Act-3D offers no support and accepts no liability in any form regarding the use of OSM. Act-3D may discontinue or change the OSM project at any time without any obligation to compensate license holders.

Software from third party suppliers
Act-3D B.V. provides you with software from third parties. The (license) terms imposed by such third parties in relation to the software shall apply, notwithstanding any varying provisions in this license agreement.

Certain content in the Model Library of Lumion with third party copyrighted or trademarked images, logos, brand names, etc., may require additional licensing, rights, permissions, releases, or clearance for non-editorial use. It is the sole responsibility of you to determine, before using any content in the Model Library, whether additional licensing, rights, permissions, releases, or clearance are necessary for the intended use of content in the Model Library of Lumion.

Applicability of EULA
This EULA is applicable to Educational Licenses that are licensed to Individual Students of full-time post-secondary education. These licenses are not available in all countries.

Important – read carefully: This End-User License Agreement (“EULA”) is a legal agreement between you (either a natural person or legal entity) and Act-3D for the Act-3D software that accompanies this EULA, which includes associated media and Act-3D Internet-based services (“Software”). An amendment or addendum to this EULA may accompany the Software.

You will find the EULA link on our Buy page (/buy.html). You will be notified that you will need to agree to be bound by the terms of this EULA when you run the software for the first time. If you do not agree to the terms in this EULA, do not purchase, download, install, copy, or use the software. Purchases of Commercial License versions of Act-3D software come with a two-week refund policy. For any refund request or query, please contact your point of purchase.

Definitions
1. “Lumion” is the program supplied by Act-3D B.V. herewith, and any and all updates thereto. To see the Lumion specifications, please use the following link /specifications.html.
2. “Lumion Project” means an output file generated by you using Lumion.
Examples of Lumion Projects include movies, presentations, demonstration files, interactive multimedia material, interactive entertainment products and the like.
3. “MyLumion” is a service that can host 360 degree panorama views, renderings and links to YouTube videos on MyLumion.com.
4. “OpenStreetMap” is a BETA version of a service that can download city/terrain data for 3D models.
5. “Software” is all information processed by computer systems, programs and data. Computer software includes computer programs, libraries and related non-executable data, such as online documentation or digital media

License eligibility
1. Eligibility for an individual student license can be found at lumion.com.
2. Students in some countries are eligible for an individual student version. Students in countries that are not eligible are also by implication not eligible.
3. Individual applicants for this license must submit proof of having current status as a full-time student in post-secondary education. In some regions, Act-3D may employ the third party services of ‘SheerID’, to verify student enrolment. If instant verification is not available, documentation is required, which as a minimum could include, a copy of a student identity pass.
4. Students on part-time courses are not eligible.
5. Licenses are valid for a specified term, nominally 365 days after application, after which the license will expire. Renewal of the license will require re-application. If the student is still eligible, the student can apply for a renewal. Act-3D allows for a maximum of 5 renewals.

Grant of license
This license allows you to:
1. Install and use Lumion on multiple computers and make copies of Lumion in machine-readable form for backup purposes, provided the number of concurrent users does not exceed the number of Lumion licenses purchased or granted by Act-3D – any extra seats allocated to a license can be considered the same as an equivalent number of additional licenses. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of Lumion. It is illegal to make installed copies of Lumion or the Lumion installation files available to the public or third parties, for example via file hosting websites.
2. Install Lumion on a storage device, such as a network server, and run Lumion on an internal network, provided the number of concurrent users does not exceed the number of Lumion licenses purchased. A copy of Lumion must be purchased for each concurrent user.
3. Make copies of a “Lumion Project”, and distribute those copies for use by yourself, other students or educators involved in said project.

License restrictions
Other than as set forth under “Grant of License”, you may not make or distribute copies of Lumion to third parties, or electronically transfer Lumion from one computer to another or over a network which third parties can access. You may not rent, lease or sublicense Lumion. You may not modify Lumion or create derivative works based upon Lumion.

It is NOT allowed to make installed copies of Lumion or the Lumion installation files available to anyone other than yourself either via private means such as email or public means, such as web-hosting.

Lumion Pro Student may not be used for commercial purposes, for this reason the file extension is different to that of the commercial version and projects files will therefore not be interchangeable. Act-3D reserves the right to deactivate the license at any time if misuse is suspected or for any other reason.

The watermark present on outputs rendered using the Lumion Pro Student version, whether through rendering or via a screenshot, may not under any circumstance be removed. Act-3D reserves the right to restrict the availability of features within the student version in comparison to what is available in the commercial version.

Hardware requirements
Lumion runs on a Windows operating system and needs internet access over HTTP to the license server of Act-3D B.V. You are responsible for selecting the appropriate resources, including hardware and internet access, and for ensuring that these are available in full and in a timely manner. Act-3D B.V. will under no circumstances be liable for losses or costs arising as a result of transmission errors, breakdowns or the non-availability of these facilities. Privacy
By installing this copy of Lumion you accept that Lumion sends hardware information like computer name and hardware specifications to Act­3D B.V. servers with the purpose of verifying validity of your license.
By installing this copy of Lumion you also accept that Lumion sends product usage information, test results and hardware specifications to Act­3D B.V. servers with the purpose of further improving the future
development of Lumion and advising on hardware suitability for running Lumion.

Lumion uses a floating license system and licenses are activated/
de-activated on the Act-3D license servers. In order to maintain the activation status of Lumion licenses (active or inactive), Act-3D stores activation/de-activation data in a database. Act-3D also reserves the right to use this data for analytical purposes, such as usage statistics, and to gather extra data for the Lumion Student Pro version to verify legal and proper usage. This data is also available to authorized Act-3D sales partners. Sensitive data is made anonymous, in compliance with the European General Data Protection Regulations.

Ownership
The foregoing license gives you limited rights to use Lumion, only for the intended use. Although you own the media on which Lumion is recorded, you do not become the owner of, and Act-3D retains title to, Lumion, the Lumion Viewer (supplied with Lumion Pro), and all copies thereof. All intellectual property rights to the software shall remain exclusively vested in Act-3D B.V., its licensors or its own suppliers. You only acquire those rights of use that are explicitly granted in this license agreement and by law. Any rights of use granted to you shall be non-exclusive, non-transferable to third parties and non-sublicensable. You shall not be permitted to remove or amend any details in relation to the confidential nature or in relation to copyrights, brand names, trade names or any other intellectual property right from the software. Support
To use Lumion’s Customer Care services, follow the steps contained in the emails sent to you upon acquiring the Lumion software. These emails will explain how to create an account at https://account.lumion.com and register your Lumion license key/s. You must be logged in to https://account.lumion.com and you must have a valid licence key added to your account in order to access Lumion’s Customer Care services.
Update and upgrade policy
Act-3D B.V. regularly releases updates with fixes, changes and added functionality for commercial versions of Lumion, however these updates and upgrades are not guaranteed to be available in the individual student version of Lumion. Act-3D reserves the right to discontinue the student version.
In this event Act-3D may decide to invalidate active student licenses.

Limited warranties
Act-3D B.V. warrants that, for a period of ninety (90) days from the date of delivery (as evidenced by a copy of your receipt, when used with a recommended hardware configuration (/requirements.html), Lumion will perform in substantial conformance with the documentation supplied with, when used with a recommended hardware configuration Lumion will perform in substantial conformance with the documentation supplied with the product specifications supplied on the Lumion product website (/product). Except as set forth in the foregoing limited warranty, Act-3D B.V. disclaims all other warranties or conditions, either express or implied, including the warranties or conditions of merchantability, fitness for a particular purpose and non infringement. If applicable law implies anY warranties with respect to Lumion, all such warranties are limited in duration to ninety (90) days from the date of delivery. No oral or written information or advice given by Act-3D B.V., its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of this warranty. You will be responsible for the use of Lumion and the manner in which the results obtained through the use of the software are used, Act-3D B.V. shall not be responsible for checking the accuracy and completeness of Lumion and the data generated through the use of the service. Limitations of damages
The total liability of Act-3D B.V. due to an attributable failure to perform this license agreement or due to any other reason, explicitly including any failure to comply with a guarantee obligation agreed with you, shall be limited to compensation of the direct damages or loss not exceeding the sum of 250 U.S. dollars.

The liability of Act-3D B.V. for indirect damages or loss, resulting loss, loss of profit, loss of savings, reduced goodwill, loss due to business interruption, loss as a result of claims from your customers, shall be excluded. The liability of Act-3D B.V. due to the scrambling, destruction or loss of data or documents shall also be excluded. The liability of Act-3D B.V. for loss as a result of death, physical injury or due to material damage to items shall under no circumstances exceed € 1.250.000,–.

Basis of bargain
The limited warranty, exclusive remedies and limited liability set forth above are fundamental elements of the basis of the agreement between Act-3D B.V. and you. Act-3D B.V. would not be able to provide Lumion on an economic basis without such limitations.

General
This Agreement shall be governed by Dutch law. The applicability of the Convention on Contracts for the International Sale of Goods 1980 is excluded. Any disputes that may arise on the basis of this license agreement, shall be settled by the District Court of The Hague, the Netherlands.This Agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. MyLumion
MyLumion is functionality which allows projects to be uploaded from Lumion and stored on a ‘MyLumion’ online domain. Certain conditions apply to this functionality.
1. MyLumion is supplied on a ‘best effort’ basis, meaning that MyLumion project data is backed up on multiple servers but no specific performance guarantees can be provided for the following reasons:
a) Availability depends on services provided by the relevant internet storage operators. The of the functionality is determined by these providers and is less than 100%.
b) In countries or regions with restricted or unreliable internet access, the MyLumion website domain might not be accessible.
2. Storage time for projects on MyLumion is a minimum of 1 year, from the time the MyLumion project was created.
3. MyLumion is provided on a ‘fair use’ basis. This means that a maximum of 10 panorama projects and 10 image projects can be in use at any one time.
It also means that if more projects are uploaded, the older projects (both Panorama and Image projects) will be removed automatically from the relevant MyLumion account.
4. The usage data of projects is logged in a Lumion database and may be used for usage analysis reasons.
Projects are available via a randomly generated unique link.
5. Projects are not password protected.

Open Street Maps (OSM) BETA functionality
Act-3D has made a BETA version of Open Street Maps (OSM) functionality available since Lumion version 7.0. This makes use of the online ‘Open Street Maps’ service which is provided by a third party, which is independent of Lumion or ACT-3D. As such, the functionality is dependent on the service and data provided by the operators of the Open Street Maps service. The BETA status means the OSM functionality in Lumion is still under development. This Agreement offers ‘as is’ use of OSM free of charge. Act-3D offers no support and accepts no liability in any form regarding the use of OSM. Act-3D may discontinue or change the OSM project at any time without any obligation to compensate license holders.
Software from third party suppliers
Act-3D B.V. provides you with software from third parties. The (license) terms imposed by such third parties in relation to the software shall apply, notwithstanding any varying provisions in this license agreement.

Certain content in the Model Library of Lumion with third party copyrighted or trademarked images, logos, brand names, etc., may require additional licensing, rights, permissions, releases, or clearance for non-editorial use. It is the sole responsibility of you to determine, before using any content in the Model Library, whether additional licensing, rights, permissions, releases, or clearance are necessary for the intended use of content in the Model Library of Lumion.

5. EULA For Users of Act-3D ‘Not-for-Resale’ (NFR) Licenses

Applicability of EULA:
This EULA is applicable to Not-For-Resale (NFR) licenses of Lumion.

Important – read carefully: This End-User License Agreement (“EULA”) is a legal agreement between you (either a natural person or legal entity) and Act-3D for the Act-3D software that accompanies this EULA, which includes associated media and Act-3D Internet-based services (“Software”). An amendment or addendum to this EULA may accompany the Software.

You will find the EULA link on our Buy page (/buy.html). You will be notified that you will need to agree to be bound by the terms of this EULA when you run the software for the first time. If you do not agree to the terms in this EULA, do not purchase, download, install, copy, or use the software. Purchases of Commercial License versions of Act-3D software come with a two-week refund policy. For any refund request or query, please contact your point of purchase.

Definitions
1. “Lumion” is the program supplied by Act-3D B.V. herewith, and any and all updates thereto. To see the Lumion specifications, please use the following link /specifications.html.
2. “Lumion Project” means an output file generated by you using Lumion.
Examples of Lumion Projects include movies, presentations, demonstration files, interactive multimedia material, interactive entertainment products and the like.
3. “MyLumion” is a service that can host 360 degree panorama views, renderings and links to YouTube videos on MyLumion.com.
4. “OpenStreetMap” is a BETA version of a service that can download city/terrain data for 3D models.
5. “Software” is all information processed by computer systems, programs and data. Computer software includes computer programs, libraries and related non-executable data, such as online documentation or digital media

Grant of license
This license allows you to:
1. Install and use Lumion on multiple computers and make copies of Lumion in machine-readable form for backup purposes, provided the number of concurrent users does not exceed the number of Lumion licenses purchased – any extra seats allocated to a license can be considered the same as an equivalent number of additional licenses. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of Lumion. It is illegal to make installed copies of Lumion or the Lumion installation files available to the public or third parties, for example via file hosting websites.
2. Install Lumion on a storage device, such as a network server, and run Lumion on an internal network, provided the number of concurrent users does not exceed the number of Lumion licenses purchased. A copy of Lumion must be purchased for each such user.
3. Make copies of a “Lumion Project”, and distribute those copies for use by yourself or personnel employed by you, or by another party.

License restrictions
Other than as set forth under “Grant of License”, you may not make or distribute copies of Lumion to third parties, or electronically transfer Lumion from one computer to another or over a network which third parties can access. You may not rent, lease or sublicense Lumion.
You may not modify Lumion or create derivative works based upon Lumion.
The NFR version of Lumion may not be sold by the person to which it was issued or any other person.
Unless explicitly, in writing, permitted by an authorized representative of Act-3D, a NFR license is for personal use and does not allow you to create Commercial outputs, i.e. Outputs which are used in a situation where an implicit or explicit monetary value could be assigned to that output.

Hardware requirements
Lumion runs on a Windows operating system and needs internet access over HTTP to the license server of Act-3D B.V. You are responsible for selecting the appropriate resources, including hardware and internet access, and for ensuring that these are available in full and in a timely manner. Act-3D B.V. will under no circumstances be liable for losses or costs arising as a result of transmission errors, breakdowns or the non-availability of these facilities.To see the detailed hardware requirements please use the following link: /requirements.html.

Privacy
By installing this copy of Lumion you accept that Lumion sends hardware information like computer name and hardware specifications to Act­3D B.V. servers with the purpose of verifying validity of your license.
By installing this copy of Lumion you also accept that Lumion sends product usage information, test results and hardware specifications to Act­3D B.V. servers with the purpose of further improving the future
development of Lumion and advising on hardware suitability for running Lumion.
Lumion uses a floating license system and licenses are activated/de-activated on the Act-3D license servers. In order to maintain the activation status of Lumion licenses (active or inactive), Act-3D stores activation/de-activation data in a database. Act-3D also reserves the right to use this data for analytical purposes. This data is also available to authorized Act-3D sales partners.
Sensitive data is made anonymous, in compliance with the European General Data Protection Regulations.

Ownership
The foregoing license gives you limited rights to use Lumion, only for the intended use. NFR licenses are issued at the discretion of Act-3D and as a result, the recipient is temporarily the owner of the right to use Lumion until the point at which the NFR license validity is revoked. This can occur at any moment at the discretion of Act-3D.
Although you own the media on which Lumion is recorded, you do not become the owner of, and Act-3D retains title to, Lumion, the Lumion Viewer (supplied with Lumion Pro), and all copies thereof. All intellectual property rights to the software shall remain exclusively vested in Act-3D B.V., its licensors or its own suppliers. You only acquire those rights of use that are explicitly granted in this license agreement and by law. Any rights of use granted to you shall be non-exclusive, non-transferable to third parties and non-sublicensable. You shall not be permitted to remove or amend any details in relation to the confidential nature or in relation to copyrights, brand names, trade names or any other intellectual property right from the software.

Support
To use Lumion’s Customer Care services, follow the steps contained in the emails sent to you upon acquiring the Lumion software. These emails will explain how to create an account at https://account.lumion.com and register your Lumion license key/s. You must be logged in to https://account.lumion.com and you must have a valid licence key added to your account in order to access Lumion’s Customer Care services.

Update and upgrade policy
Act-3D B.V. regularly releases updates with fixes, changes and added functionality. As a Lumion user with a valid Lumion NFR license, you will receive access to the most up-to-date version of Lumion.

Limited warranties
Act-3D B.V. warrants that, for a period of ninety (90) days from the date of delivery (as evidenced by a copy of your receipt, when used with a recommended hardware configuration (/requirements.html), Lumion will perform in substantial conformance with the documentation supplied with when used with a recommended hardware configuration, Lumion will perform in substantial conformance with the documentation supplied with Lumion the product specifications supplied on the Lumion product website (/product). Except as set forth in the foregoing limited warranty, Act-3D B.V. disclaims all other warranties or conditions, either express or implied, including the warranties or conditions of merchantability, fitness for a particular purpose and non infringement. If applicable law implies any warranties with respect to Lumion, all such warranties are limited in duration to ninety (90) days from the date of delivery. No oral or written information or advice given by Act-3D B.V., its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of this warranty. You will responsible for the use of Lumion and the manner in which the results obtained through the
use of the software are used, Act-3D B.V. shall not be responsible for checking the accuracy and completeness of Lumion and the data generated through the use of the service. Act-3D B.V. shall have no responsibility if Lumion has been altered in any way, if the media has been damaged by accident, abuse or misapplication, or if the failure arises out of use of Lumion with other than a recommended hardware configuration.

Limitations of damages
The total liability of Act-3D B.V. due to an attributable failure to perform this license agreement or due to any other reason, explicitly including any failure to comply with a guarantee obligation agreed with you, shall be limited to compensation of the direct damages or loss not exceeding the sum of 250 U.S. dollars.
The liability of Act-3D B.V. for indirect damages or loss, resulting loss, loss of profit, loss of savings, reduced goodwill, loss due to business interruption, loss as a result of claims from your customers, shall be excluded. The liability of Act-3D B.V. due to the scrambling, destruction or loss of data or documents shall also be excluded. The liability of Act-3D B.V. for loss as a result of death, physical injury or due to material damage to items shall under no circumstances exceed € 1.250.000.

Basis of bargain
The limited warranty, exclusive remedies and limited liability set forth above are fundamental elements of the basis of the agreement between Act-3D B.V. and you. Act-3D B.V. would not be able to provide Lumion on an economic basis without such limitations.

General
This Agreement shall be governed by Dutch law. The applicability of the Convention on Contracts for the International Sale of Goods 1980 is excluded. Any disputes that may arise on the basis of this license agreement, shall be settled by the District Court of The Hague, the Netherlands.This Agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. MyLumion
MyLumion is functionality which allows projects to be uploaded from Lumion and stored on a ‘MyLumion’ online domain. Certain conditions apply to this functionality.
1. MyLumion is supplied on a ‘best effort’ basis, meaning that MyLumion project data is backed up on multiple servers but no specific performance guarantees can be provided for the following reasons:
a) Availability depends on services provided by the relevant internet storage operators. The reliability of the functionality is determined by these providers and is less than 100%.
b) In countries or regions with restricted or unreliable internet access, the MyLumion website domain might not be accessible.
2. Storage time for projects on MyLumion is a minimum of 1 year, from the time the MyLumion project was created.
3. MyLumion is provided on a ‘fair use’ basis. This means that a maximum of 10 panorama projects and 10 image projects can be in use at any one time.
It also means that if more projects are uploaded, the older projects (both Panorama and Image projects) will be removed automatically from the relevant MyLumion account.
4. The usage data of projects is logged in a Lumion database and may be used for usage analysis reasons.
Projects are available via a randomly generated unique link.
5. Projects are not password protected.

Open Street Maps (OSM) Beta functionality
Act-3D has made a BETA version of Open Street Maps (OSM) functionality available since Lumion version 7.0. This makes use of the online ‘Open Street Maps’ service which is provided by a third party, which is independent of Lumion or ACT-3D. As such, the functionality is dependent on the service and data provided by the operators of the Open Street Maps service. The BETA status means the OSM functionality in Lumion is still under development. This Agreement offers ‘as is’ use of OSM free of charge. Act-3D offers no support and accepts no liability in any form regarding the use of OSM.
Act-3D may discontinue or change the OSM project at any time without any obligation to compensate license holders.

Software from third party suppliers
Act-3D B.V. provides you with software from third parties. The (license) terms imposed by such third parties in relation to the software shall apply, notwithstanding any varying provisions in this license agreement.

Certain content in the Model Library of Lumion with third party copyrighted or trademarked images, logos, brand names, etc., may require additional licensing, rights, permissions, releases, or clearance for non-editorial use. It is the sole responsibility of you to determine, before using any content in the Model Library, whether additional licensing, rights, permissions, releases, or clearance are necessary for the intended use of content in the Model Library of Lumion.

By installing, copying or using Lumion you agree to be bound to the hereunder mentioned terms imposed by those third parties.
